Welcome to ABMIUM.

These Terms of Use ("Terms") govern access to and use of the ABMIUM website, digital platforms, software tools, Signal AI™, mobile applications, validation resources, scientific content, online services, and related offerings (collectively, the "Services").

By accessing, browsing, registering for, purchasing through, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must immediately discontinue use of the Services.

1. About ABMIUM

ABMIUM provides access to scientific information, validation data, product information, technical content, educational resources, sourcing tools, digital services, marketplace functionality, and related services intended to support researchers, laboratories, institutions, distributors, manufacturers, and commercial organisations.

ABMIUM may act as a marketplace operator, distributor, sourcing platform, scientific information provider, validation authority, reseller, commercial intermediary, or technology provider depending on the nature of the Services provided.

The Services are intended primarily for professional, academic, institutional, commercial, industrial, and research users.

2. Eligibility

By using the Services, you represent and warrant that:

a. You are legally capable of entering into binding agreements;

b. You are authorised to act on behalf of any organisation you represent;

c. You will comply with all applicable laws and regulations;

d. Any information you provide is accurate, complete, and current.

ABMIUM reserves the right to refuse access to any user at its sole discretion.

3. Use of the Services

You may use the Services only for lawful purposes and in accordance with these Terms.

You agree not to:

a. Violate any applicable law or regulation;

b. Interfere with the operation of the Services;

c. Attempt unauthorised access to systems or data;

d. Circumvent security measures;

e. Upload malicious software or code;

f. Misrepresent your identity or affiliation;

g. Use the Services to compete unfairly with ABMIUM;

h. Use the Services in any manner that may damage ABMIUM's reputation or business interests.

ABMIUM reserves the right to restrict, suspend, or terminate access to the Services at any time.

4. User Accounts

Certain Services may require registration.

Users are responsible for:

a. Maintaining the confidentiality of account credentials;

b. Restricting access to their accounts;

c. Ensuring account information remains accurate;

d. All activities conducted under their account.

ABMIUM may suspend or terminate accounts containing inaccurate information or used in breach of these Terms.

5. Signal AI™ and Decision Support Services

ABMIUM may provide access to Signal AI™, artificial intelligence systems, recommendation tools, validation tools, technical assistance tools, search systems, machine learning systems, and decision-support services.

Signal AI™ is intended solely as an informational and research-support resource.

Signal AI™ does not provide:

a. Medical advice;

b. Clinical advice;

c. Diagnostic advice;

d. Therapeutic advice;

e. Legal advice;

f. Regulatory advice;

g. Financial advice;

h. Procurement advice;

i. Professional advice.

Outputs generated by Signal AI™ may contain inaccuracies, assumptions, omissions, limitations, or outdated information.

Users remain solely responsible for evaluating:

a. Product suitability;

b. Supplier suitability;

c. Scientific methodologies;

d. Experimental design;

e. Procurement decisions;

f. Regulatory requirements;

g. Safety considerations;

h. Commercial decisions.

ABMIUM makes no representation or warranty regarding the accuracy, completeness, reliability, availability, or suitability of Signal AI™ outputs.

ABMIUM reserves the right to modify, retrain, suspend, replace, restrict, or discontinue Signal AI™ at any time without notice.

6. Scientific Content and Validation Information

ABMIUM may publish:

a. Validation findings;

b. Benchmarking studies;

c. Technical reports;

d. Scientific observations;

e. Reproducibility assessments;

f. Product comparisons;

g. Technical summaries;

h. Educational content.

Such information is provided for informational purposes only.

Scientific outcomes may vary significantly depending on:

a. Experimental design;

b. Equipment used;

c. Laboratory conditions;

d. Operator skill;

e. Sample quality;

f. Storage conditions;

g. Biological variation;

h. Protocol selection.

Users remain responsible for independently determining suitability for their intended purposes.

7. ABMIUM Verified™ and ABMIUM Validated™

ABMIUM Verified™ and ABMIUM Validated™ are proprietary trust marks owned exclusively by ABMIUM.

ABMIUM Verified™ indicates that a supplier, manufacturer, company, or product has successfully completed ABMIUM's applicable verification, onboarding, review, or assessment process.

ABMIUM Validated™ indicates that specific validation activities have been conducted under ABMIUM's validation framework.

Neither trust mark constitutes:

a. Regulatory approval;

b. Product certification;

c. Medical approval;

d. Clinical approval;

e. Guarantee of performance;

f. Guarantee of reproducibility;

g. Guarantee of suitability.

ABMIUM reserves the unrestricted right to grant, suspend, withdraw, revoke, refuse, or modify verification and validation status.

8. Intellectual Property Rights

All content available through the Services, including:

a. Text;

b. Graphics;

c. Images;

d. Software;

e. Databases;

f. Product information;

g. Validation data;

h. Reports;

i. Technical documents;

j. Signal AI™ outputs;

k. Website design elements;

l. Trademarks;

m. Logos;

n. Trade names;

o. Source code;

p. Proprietary methodologies;

remains the property of ABMIUM or its licensors.

No content may be copied, reproduced, distributed, modified, republished, reverse engineered, sold, licensed, or exploited without ABMIUM's prior written consent.

9. Data Collection and Analytics

ABMIUM may collect, process, analyse, monitor, store, and utilise information relating to:

a. User activity;

b. Purchasing behaviour;

c. Search activity;

d. Technical enquiries;

e. Validation submissions;

f. Website interactions;

g. Platform usage;

h. Account activity.

ABMIUM may use such information for:

a. Security;

b. Fraud prevention;

c. Quality assurance;

d. Platform improvement;

e. Scientific analysis;

f. Machine learning development;

g. Commercial analytics;

h. Regulatory compliance.

ABMIUM may create aggregated and anonymised datasets for scientific, operational, analytical, and commercial purposes.

10. Acceptable Use

Users shall not:

a. Attempt unauthorised access to systems;

b. Introduce malware or malicious code;

c. Scrape, harvest, crawl, or extract data without written authorisation;

d. Use bots or automated systems to collect information;

e. Reverse engineer any software or functionality;

f. Interfere with platform operation;

g. Impersonate another person or organisation;

h. Misrepresent affiliation with ABMIUM.

ABMIUM reserves the right to investigate suspected misuse and take appropriate action.

11. Third-Party Services and International Partners

ABMIUM utilises third-party providers and works with international collaborators including:

a. Software providers;

b. Hosting providers;

c. Cloud infrastructure providers;

d. Payment processors;

e. Logistics providers;

f. Manufacturers;

g. OEM partners;

h. ODM partners;

i. Universities;

j. Validation partners;

k. Scientific organisations;

l. Commercial partners.

ABMIUM does not control and shall not be responsible for third-party systems, websites, services, infrastructure, content, or performance.

ABMIUM shall not be liable for interruptions, delays, outages, customs issues, delivery failures, security incidents, or losses arising from third-party providers.

12. Promotions, Discounts, and Promotional Codes

ABMIUM may offer:

a. Promotional codes;

b. Discounts;

c. Rebates;

d. Institutional pricing;

e. Contract pricing;

f. Distributor pricing;

g. Collaborator pricing;

h. Campaign pricing.

Unless expressly stated otherwise in writing, discounts, promotions, promotional codes, quotations, contract pricing arrangements, institutional pricing arrangements, and special offers may not be combined.

Only one pricing mechanism may be applied to a transaction unless expressly authorised by ABMIUM.

ABMIUM reserves the right to:

a. Modify promotions;

b. Suspend promotions;

c. Withdraw promotions;

d. Correct pricing errors;

e. Refuse promotional claims;

f. Cancel promotional codes;

g. Restrict promotional eligibility.

ABMIUM's decision regarding promotional eligibility shall be final.

13. Availability of the Services

ABMIUM does not guarantee uninterrupted availability of the Services.

The Services may be modified, restricted, suspended, updated, or discontinued at any time for:

a. Maintenance;

b. Security;

c. Compliance;

d. Operational reasons;

e. Business reasons.

ABMIUM shall not be liable for losses arising from temporary or permanent unavailability.

14. Disclaimer

The Services are provided on an "as available" and "as is" basis.

To the fullest extent permitted by law, ABMIUM disclaims all warranties, representations, and conditions, whether express or implied, including warranties relating to:

a. Accuracy;

b. Reliability;

c. Merchantability;

d. Fitness for purpose;

e. Availability;

f. Non-infringement;

g. Security;

h. Performance.

Nothing within the Services constitutes medical, clinical, legal, regulatory, financial, or professional advice.

15. Limitation of Liability

To the fullest extent permitted by law, ABMIUM shall not be liable for:

a. Indirect losses;

b. Consequential losses;

c. Special damages;

d. Punitive damages;

e. Loss of profits;

f. Loss of revenue;

g. Loss of data;

h. Business interruption;

i. Reputational damage;

j. Scientific outcomes;

k. Procurement decisions.

ABMIUM's aggregate liability arising from or relating to the Services shall not exceed the greater of:

a. The amount paid by the user to ABMIUM during the twelve (12) months preceding the claim; or

b. One hundred pounds sterling (£100).

Nothing in these Terms excludes liability that cannot lawfully be excluded under the laws of England and Wales.

16. Indemnification

Users agree to indemnify, defend, and hold harmless ABMIUM, its directors, officers, employees, advisors, shareholders, affiliates, contractors, licensors, suppliers, collaborators, and service providers from claims, liabilities, losses, damages, expenses, costs, and legal fees arising from:

a. Breach of these Terms;

b. Misuse of the Services;

c. Violation of applicable laws;

d. Misuse of products;

e. Infringement of third-party rights;

f. User-generated content;

g. Reliance upon information obtained through the Services.

17. Related Policies

Use of the Services may also be subject to:

a. Privacy Policy;

b. Terms and Conditions of Sale;

c. Shipping Policy;

d. Returns and Refund Policy;

e. Legal Notices;

f. Additional platform policies.

Such policies form part of the overall legal framework governing the relationship between users and ABMIUM.

18. Changes to These Terms

ABMIUM reserves the right to amend these Terms at any time.

Updated Terms become effective upon publication.

Continued use of the Services constitutes acceptance of revised Terms.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales.

Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales except where mandatory law provides otherwise.
